Search engines and third-party platforms may penalize, deindex, or alter visibility of websites at their discretion. Virginia SEO Company is not responsible for ranking losses, penalties, or traffic changes caused by actions taken by third parties.

Payment Terms

Pre-Payment

Late Payments

Invoices not paid within 30 days may incur a late fee of 1.5% per month (or the maximum allowed by law).

Refund Policy

SEO services involve labor, strategy, and third-party costs. All sales are final.
Refunds are only considered if a clearly defined deliverable (as outlined in a signed proposal) is not provided within a reasonable timeframe.

Dissatisfaction with results alone does not constitute grounds for a refund.

Confidentiality & Non-Disclosure

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement.

Client agrees specifically not to disclose or attempt to reverse-engineer our proprietary methodologies, publisher relationships, authors, or link-building processes.

Confidentiality obligations survive termination of services.

Client Responsibilities & Copyright

Client Materials

Client represents that all content, images, trademarks, or materials provided are owned by the Client or properly licensed.

Client agrees to indemnify and hold Virginia SEO Company harmless from any claims arising from the use of these materials.

Approvals

Delays in approvals, feedback, or access may result in delays to deliverables or performance timelines.

Disclaimer of Warranties

All services and Website materials are provided “as is” and “as available.”

We make no warranties, express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Merchantability
  • Guaranteed business outcomes

Limitation of Liability

Termination

Outstanding invoices remain payable upon termination. Confidentiality and intellectual property provisions survive termination.

Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Commonwealth of Virginia.

Any legal action arising from this Agreement shall be brought exclusively in a court of competent jurisdiction located within Virginia.

Modifications to These Terms

We reserve the right to update or modify these Terms at any time. Updates will be posted on this page with a revised Effective Date.

Continued use of the Website or services constitutes acceptance of the updated Terms.
